Terms of Service
These terms are an agreement between you and Individual Entrepreneur Pyryn Bohdan (ФОП Пирин Богдан Орестович), a sole proprietor trading as Ordela, registered at vul. Mykoly Lukasha 5, Lviv 79012, Lviv Oblast, Ukraine (“Ordela”, “we”, “us”). They apply to the Ordela service: its assistant in messaging apps, its admin and this website (the “Service”). By using the Service or buying a subscription you accept them. Questions: support@ordela.app.
1. Our reseller: Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle answers questions about orders and payments and handles returns and refunds; for anything about the Service itself, write to us. When you subscribe, you buy from Paddle under Paddle’s Buyer Terms, which govern the payment, taxes and invoices. These Terms govern your use of the Service.
2. The Service
Ordela is software for small businesses that take bookings or answer customers in chat. It answers your customers in WhatsApp, through the official WhatsApp Business Platform, and in Telegram (early access); books, moves and cancels appointments in your schedule, each confirmed by the customer with a button; sends reminders; hands a conversation to you or your staff when it is unsure; and gives you an admin to see and change your schedule. Each plan includes what the pricing section lists for it on the day you subscribe. Help with connecting your number and loading your services is included at no extra charge.
The Service is for businesses and professionals acting for their business, not for consumers. You must be at least 18 and able to bind the business you sign up for.
3. Plans and prices
- Basic: €25 per month, per business.
- Pro: €60 per month, per business.
Prices are in euros (EUR). Taxes such as VAT or sales tax are calculated by Paddle at checkout, depending on your location, and shown before you pay. We are not registered for VAT. We may change prices with at least 30 days’ notice by email or in your chat with Ordela; a new price applies from your first renewal after the notice, and you can cancel before then.
4. The free month
The first 30 days of your first business are free, counted from the day it goes live (the day the assistant starts answering your customers). No card is needed and nothing is charged automatically when the free month ends. To continue, choose a plan and subscribe; if you pay before the free month ends, the free days you have left are added before your first renewal. If you don’t subscribe by then, the 7-day warning period in section 7 applies. The free month is once per owner: further businesses of the same owner start without one.
5. Billing, renewal and plan changes
- A subscription is billed monthly in advance and renews automatically every month until you cancel it. Paddle charges the payment method you gave it on each renewal date.
- Upgrades (Basic to Pro) take effect at once; Paddle charges the difference for the rest of the current month.
- Downgrades (Pro to Basic) take effect at the end of the month you have paid for.
- Invoices and receipts come from Paddle. You can update your payment method from the link in Paddle’s emails.
6. Cancellation
You can cancel at any time, using the link in your Paddle receipt or by writing to support@ordela.app. Cancellation takes effect at the end of the month you have paid for: the Service keeps working until then and you are not charged again. Refunds are covered by our Refund Policy.
7. Missed payments
If the free month ends without a subscription, or a renewal payment fails, you have 7 days to pay. During them the Service keeps working fully and we warn you with a banner in your admin and a message in your chat with Ordela. If a renewal failed, Paddle also retries the payment and emails you. A payment you dispute with your bank or card issuer (a chargeback) counts as a failed payment from the day it is opened.
After those 7 days, the Service stops until you pay: the assistant stops answering your customers (their messages are kept, and they are told that a person will reply), and no new bookings or automated messages go out. For 14 days after the stop you can still read and answer your customers in your admin inbox; after that the inbox is read-only. You can still sign in and pay, and ask support@ordela.app for an export of your data. Paying restores everything at once. If Paddle cannot collect a failed renewal by the end of its retry period, the subscription is cancelled; you can subscribe again at any time.
8. Your responsibilities and acceptable use
You are responsible for the information you give Ordela (services, prices, hours, staff, policies), for keeping it accurate, and for the messages sent in your business’s name. You must not use the Service, or let anyone use it, to:
- send bulk, unsolicited or marketing messages to people who have not contacted your business or agreed to hear from it; or break the WhatsApp Business Messaging Policy, Meta’s or Telegram’s terms;
- break the law, deceive, harass or impersonate anyone, or send content that is illegal, hateful, sexual, violent or infringes someone’s rights;
- offer medical, legal or financial advice, or emergency services, through the assistant;
- process personal data you have no right to process;
- probe, scan or test the Service’s security, interfere with it, overload it, scrape it, reverse-engineer it, or use it to build a competing product;
- resell or sublicense the Service without our written agreement.
We may remove content or block messages that break these Terms, and suspend the Service as section 11 says.
9. The AI assistant
Replies are written automatically by an AI model from your business data and the conversation. Ordela takes prices and free times only from your data, asks the customer to confirm every booking change with a button, and hands the conversation to a person when it is unsure, but it can still make mistakes. Check what it says about your business, and tell us about any reply that was wrong. Your data and your customers’ messages are not used to train AI models.
10. Your data and our rights
You keep all rights in your business data and your customers’ messages. You give us the right to use them only to provide, secure and support the Service. For your customers’ personal data we act as your processor, on your instructions; our Privacy Policy says what we store, where and for how long. We keep all rights in the Service, its software and its brand. If you believe content on the Service infringes your rights, write to support@ordela.app and we will look at it promptly.
11. Suspension and termination
We may suspend or end your access, with notice where we reasonably can, for a material or repeated breach of these Terms, for non-payment (section 7), or to stop fraud or a risk to the security of the Service or other users. You may stop using the Service at any time by cancelling (section 6). If we stop offering the Service, we will give you at least 30 days’ notice and refund any period you have paid for and not used.
12. Third-party services
Ordela reaches your customers through WhatsApp (Meta), Telegram and similar services, under their own terms, and its availability depends on them. Ordela is not affiliated with Meta Platforms, Inc. or Telegram FZ-LLC.
13. Availability and liability
We work to keep the Service running and your data safe, but we do not promise that it will be uninterrupted or error-free. To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profits, lost bookings or lost data, and our total liability under these Terms is limited to the amount you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Changes to these Terms
We may update these Terms. For a material change we will tell you at least 30 days before it applies, by email or in your chat with Ordela; if you don’t agree, you can cancel before then. The date at the top says when they last changed.
15. Governing law
These Terms, and any dispute about them or the Service, are governed by the laws of Ukraine, and the courts of Lviv, Ukraine have jurisdiction. The purchase itself is governed by Paddle’s Buyer Terms. Nothing here takes away rights you have under the mandatory law of the country where your business is established.
